The following details
the terms of the Agreement between i-Deal LLC ("i-Deal") and you ("Subscriber")
with respect to electronic access via the public Internet to the i-Deal product
line (the "Service"). By using this Site, you agree to abide by this Usage
Agreement. This Usage Agreement, except for the provisions under the heading
“Privacy Statement”, may be amended or supplemented by i-Deal from time to time
in its sole discretion without prior notice. i-Deal reserves the right to
terminate access to this site at any time, in whole or in part, it its sole
discretion.
1.Subscriber acknowledges that the Service will continue to be enhanced and may
be changed substantially. i-Deal may discontinue or revise any and all aspects
of the Service at its sole discretion and without prior notice.
2.The Service will include an e-mail facility for communication
between the Subscriber and i-Deal. i-Deal encourages Subscriber to provide
feedback to i-Deal regarding suggestions and enhancements to the Service.
i-Deal reserves the right to contact Subscriber regarding use and in response
to feedback comments. Subscriber may contact i-Deal by e-mail addressed to
os@i-Deal.com, by telephone at (212) 404-8104 or fax at (212) 404-8152.
3.All information available through the Service is protected by
copyright or other intellectual property laws. Subscriber may not reproduce,
retransmit, distribute, store in a retrireview device, disseminate, sell,
publish, broadcast or circulate the information obtained through the Service to
anyone, without the express written consent of i-Deal. Subscriber may display
and print information obtained through the Service solely for Subscriber's
individual use. Subscriber agrees not to use any information obtained through
the Service for any unlawful or unauthorized purpose.
4.Subscriber recognizes that the Service is accessible via the
public Internet with an individual password. The password assigned to
Subscriber is for individual use only and shall not be used by another person.
5.In no event should the Service be used in place of any product
or service currently provided by i-Deal such that the preexisting service is
canceled.
6.Because of the possibility of human or mechanical error by
i-Deal or its licensers, neither i-Deal or any of its licensers guarantee the
accuracy, adequacy, completeness, currentness or non-infringement of the
service and are not responsible for any errors or omissions, for the results
obtained from the use of the service, or for delays or interruptions in the
service. There are no express or implied warranties including, without
limitation, warranties of merchantability or fitness for a particular purpose
or use with respect to the service or any information available through the
service. In no event will i-Deal or any of its licensers be liable for damages,
direct, indirect, special or consequential (including lost profits) in
connection with the use of the service, even if notified of the possibility of
such damages. The sole remedy of subscribers to the service in the event of a
breach of this agreement by i-Deal shall be to terminate this agreement.
7.Should you leave this Site via a link contained herein and
view content that is not provided by i-Deal you shall do so at your own risk.
i-Deal provides links only as a convenience and without liability. In
particular, and without limitation, you understand and agree that the ability
to link to another site and the fact that a link exists does not mean that
i-Deal endorses or guarantees such site, the site sponsor or the site contents.
The content to which you link will not have been developed, checked for
accuracy, or otherwise reviewed by i-Deal. i-Deal is not responsible for
damages or losses caused by any other content provided in such site, whether
actual, alleged, consequential, incidental or punitive. i-Deal makes no
guarantees or representations at to, and shall have no liability for, any
electronic content delivered by any third party, including, without limitation,
the accuracy, subject matter, quality or timeliness of any electronic content.
Your reliance on any information contained on any site reached through a link
shall be your own responsibility.
8.This Agreement shall be governed in all respects in accordance
with the laws of the United States of America and New York State governing
contracts to be wholly entered into and performed within New York State.
9.The terms of this Agreement and all operating rules published
over the Service constitute the entire Agreement between i-Deal and Subscriber
with respect to the Service. The Subscriber may not assign any rights or
obligations under this Agreement to anyone. By signing this Agreement, the
Subscriber agrees to be bound by the terms of the Agreement.
In Witness Whereof, the parties to this Agreement have executed
this Agreement as of the date the Subscriber requests access.
